Separate Regional Markets
Allocate Middle East or other non-Vietnamese business to Dubai only when the UAE company actually develops, performs and controls the relevant commercial activity.
Vietnam–UAE cross-border structuring advisory

Tax efficiency can arise when a UAE entity genuinely earns profit from functions performed, assets used and risks controlled in the UAE—for example, managing Middle East customers or operating a regional procurement platform. It should not arise from relabelling Vietnamese activity, invoices or profit while the people and decisions remain in Vietnam.
Allocate Middle East or other non-Vietnamese business to Dubai only when the UAE company actually develops, performs and controls the relevant commercial activity.
Align directors, employees, premises, expenditure, contracts, banking, records and decision-making with the functions and profit assigned to Dubai.
Model Vietnamese transfer-pricing, foreign-contractor-tax, PE, investment and foreign-exchange rules together with UAE corporate-tax and free-zone conditions.
A Vietnamese company should not treat the UAE incorporation and the transfer of investment capital as separate projects. The outward-investment path, foreign-exchange account, funding documents, ownership and future profit-remittance process should be designed before capital moves.
These are strategy models for analysis, not promised tax outcomes. The right model depends on customers, supply chain, licences, people, contracts, risk control and the Vietnamese group’s investment and reporting position.
A UAE team develops and manages regional customers, negotiates contracts and controls appropriate commercial risk.
The Dubai company manages genuine supplier, inventory, pricing, logistics or credit functions for regional trade.
Qualified UAE personnel provide actual management, finance, marketing or operational services to overseas group companies.
A UAE company may hold selected overseas investments when governance, funding, beneficial ownership and Vietnam’s outward-investment requirements are supportable.
Dubai serves as a genuine consolidation, warehousing or regional fulfilment location for markets outside Vietnam.
A properly staffed UAE function may manage selected group funding or cash operations, subject to investment, banking, transfer-pricing and interest-deduction review.
A useful structure memo should analyse both jurisdictions and identify exactly which facts, approvals and documents the conclusion depends on.
| Issue | Why it matters | Questions to answer |
|---|---|---|
| Vietnamese source and operations | Vietnamese activity and income do not stop being taxable merely because a UAE company sends the invoice. | Where are the people, negotiations, services, assets, contracts and value-creating activities? |
| Related-party transactions | Vietnam’s transfer-pricing framework applies to enterprises with related-party transactions and includes documentation and deductibility considerations. | What functions, assets and risks belong to each entity, and what supports the price, margin, service fee or interest? |
| Foreign contractor tax | Payments from Vietnam to a foreign entity for certain supplies or services can trigger Vietnamese contractor tax and compliance obligations. | What is supplied, where is it performed or consumed, how is the contract priced and who must declare or withhold? |
| Permanent establishment | A UAE entity carrying on business through Vietnamese people, premises or dependent activity may create Vietnamese taxable presence. | Who negotiates or concludes contracts, where are services performed and what authority do Vietnamese personnel exercise? |
| Outward investment | A Vietnamese investor may need to follow statutory outward-investment procedures before establishing or funding an overseas project. | Who is the investor, what is the project, what approvals or registrations apply and is the funding route consistent with them? |
| Foreign exchange and remittance | Investment capital, loans, dividends and repatriated profits should move through the legally appropriate banking route with supporting documents. | Which account is required, what can be remitted and what reporting or evidence must be maintained? |
| Vietnam–UAE treaty | The treaty can allocate taxing rights and limit some source-country taxation, but access depends on the treaty and facts. | Is the recipient a qualifying resident and beneficial owner, and do anti-abuse provisions affect relief? |
| UAE corporate tax | The UAE has federal corporate tax. Free-zone treatment is conditional rather than automatic. | Is the entity a Qualifying Free Zone Person, is the income qualifying and are substance and compliance conditions maintained? |
| Global minimum tax | Vietnam’s additional corporate-income-tax rules may affect in-scope multinational groups even where a UAE entity has a low effective tax rate. | Is the group within scope, and could domestic or income-inclusion top-up tax alter the projected benefit? |
Choosing a free zone first can lock the group into an entity that does not match its income, funding route, functions or target markets. We start with commercial flows and Vietnam’s outward-investment pathway, then build the UAE footprint around them.
Document ownership, Vietnamese operations, overseas markets, people, contracts, assets, financing and cash flows.
Coordinate Vietnamese legal, banking and tax specialists on outbound investment, foreign-exchange accounts, capital and future remittances.
Test mainland and suitable free-zone structures against activity, market access, tax treatment, substance and cost.
Align premises, directors, personnel, contracts, banking, accounting, approvals, intercompany agreements and ongoing governance.
These shortcuts tend to separate the claimed tax result from commercial and regulatory reality.
The Vietnamese team still finds the customer, negotiates, delivers and manages the risk while the UAE entity merely invoices.
UAE corporate tax and conditional free-zone rules must be analysed alongside Vietnamese tax rules.
Funding the UAE company without first confirming Vietnam’s investment, banking and foreign-exchange pathway creates avoidable legal and repatriation risk.
Related-party fees and interest need actual functions, commercial benefit, deductibility analysis and arm’s-length support.
A certificate or UAE entity does not automatically establish beneficial ownership or override treaty anti-abuse provisions.
A low local rate may not produce the expected group result if Vietnam’s top-up tax framework applies.
The Vietnam–UAE treaty provides a framework for allocating taxing rights, but it does not replace domestic eligibility, outward-investment, foreign-exchange, beneficial-ownership, documentation or anti-abuse analysis. Vietnamese and UAE requirements should be reviewed together before incorporation or funding.

No. A UAE entity does not automatically remove Vietnamese or UAE tax. Profit allocation must reflect real functions, assets and risks, and Vietnamese PE, foreign-contractor-tax, transfer-pricing, investment and anti-avoidance rules may apply.
No. Preferential UAE free-zone treatment applies only to qualifying income of an eligible Qualifying Free Zone Person that satisfies all applicable conditions. Other income may receive different UAE corporate-tax treatment.
Only when genuine services are performed, the Vietnamese business receives a commercial benefit, the charge is arm’s length and foreign-contractor-tax, deductibility, documentation and reporting requirements are addressed.
No. The relevant treaty article, residence, beneficial ownership, documentation, transaction facts and anti-abuse provisions must be satisfied.
Not without reviewing Vietnam’s outward-investment, banking and foreign-exchange requirements. The legal investment route and remittance documents should be confirmed before funds move.
The distribution, tax and banking route should be designed as part of the original investment plan. Applicable UAE tax, Vietnamese tax, foreign-exchange documentation and reporting requirements must be confirmed for the actual payment.
No. It is relevant to multinational groups within the applicable scope. Where it applies, top-up tax can materially change the projected benefit of a low-taxed UAE entity.
It depends on activities, customers, geographic markets, premises, staffing, regulatory permissions and expected income. Tax should be assessed after identifying the commercially workable options.
